Generality :

Welcome to the website www.sgmobile.ca, including its associated functions, applications, services or websites, ("Website"). You will find on the Website the full range of new or used phones, tablets, smartwatches and other accessories offered by SG Mobile ("Product(s)"). These terms and conditions ("Terms") govern your use of the Website and the sale of Products between Sagau mobile inc, operator of the Website and seller of the Products on the one hand ("SG Mobile" or "we") and users of the Website or buyers of the Products ("Customer" or "you"), on the other hand. We recommend that you carefully read these Terms, as they constitute a contract between you and SG Mobile when you use the Website and any purchases of Products you may make there. If you do not agree to these Terms, please do not use or transact on the Website. When you use the Website or make a purchase, you agree to comply with: (i) these Terms; (ii) any other policies that SG Mobile may adopt from time to time in connection with the Website; and (iii) any applicable laws or regulations in connection with your use of the Products or the Website, including but not limited to copyright laws. These Terms are subject to change at any time by SG Mobile, to the extent permitted by law, in which case the most recent version will automatically replace the previous one. If we make changes, we will take steps to notify you, either by a notice on the Website or otherwise. Your use of the Website after such modification constitutes your acceptance of the Terms as revised. In the event of a Customer failure or refusal to accept the Terms in force at SG Mobile’s express request, his access to the features offered by the Website, including the possibility of purchasing Products, may be suspended or Terminated. The Website is intended only for adults and possessing the capacity to contract. Any use of the Website and creation of an account by a minor is prohibited. By accessing, using or making a purchase on the Website, you represent that you have reached the age of majority in your place of residence. You have the option to create an account to purchase Products. Where applicable, you are responsible for protecting your password and any activity made on your account, whether or not you have authorized such activities. If you become aware of or reasonably suspect any intrusion into your account, including any theft, loss or unauthorized disclosure or use of your password, you must immediately report it to us by contacting us in the manner set out in the "Contact Us" section below.

Purchase of products :

Receipt of an order by SG Mobile does not mean that it is automatically accepted. All orders are subject to confirmation by a SG Mobile representative, who reserves the discretion to cancel or refuse any order within five (5) business days. In the event of an error in the entry of information allowing the identification of the Customer or the price of the Product, the inability to deliver it or any other reason, we will contact you to notify you and will proceed to the full refund of any amount that may have been collected at the time of the order, including taxes and any delivery costs. Please note that the processing time for a refund varies depending on the Client financial institution Also, some Products may only be available in limited quantities. If a Product is no longer available in inventory at the time the Customer places his order, despite SG Mobile efforts to synchronize the inventory in real time, a representative will inform him and any additional delivery time will be communicated to the Customer at that time. If the Customer prefers to cancel his order, SG Mobile will also refund the full amount. Once confirmed, an order can only be modified or cancelled by the Customer if the Products have not yet been shipped. Otherwise, SG Mobile returns and refunds policy will apply.

Price :

The price of the Products is displayed and payable in Canadian dollars. Unless otherwise stated, prices do not include applicable sales taxes or delivery charges (where applicable), which will be calculated at the rate in effect at the time of purchase. All prices are subject to change without notice.

Payment :

When you proceed to purchase a Product online, full payment of the price of the Products and all applicable fees and taxes will be collected at the time of the order. In the event that a Product is unavailable or the order is otherwise refused, you will be credited in the manner provided herein. Payment for your purchase is made outside of the website, once invoice is sent.

Delivery :

Shipping is free for any orders over 2000$ USD. Delivery times are generally between 1 and 8 business days depending on your province of residence. We will attempt to process your order the same day if it is received before 12:00 p.m., or otherwise the next business day. An express delivery service is also offered at an additional cost. Please note, however, that delivery times may vary, in particular due to the type and number of Products purchased, the place of delivery, public holidays, etc. The delivery is also carried out by third party service providers over which SG Mobile has no control and which could also be a source of unforeseen delays. Any delivery time mentioned to the Customer at the time of purchase is therefore only indicative and SG Mobile can not be held responsible for delays or defects in delivery resulting from circumstances beyond its control. SG Mobile will still put in place reasonable means to ensure that delivery deadlines are respected.

Safety and maintenance :

The Products may present certain inherent security risks if not used appropriately. In particular, batteries can cause burns or other injuries if pierced or impacted. An electronic device should only be opened or repaired by a professional. It is also the Customer responsibility to read any user and maintenance manuals for the Products they purchase, including any safety warnings, if any.

Product Warranty :

SG Mobile warrants that the products sold will be free from defects in design or workmanship and will be functional ("Warranty") for a period of 90 days calculated from the date of receipt of the Product by the Customer ("Warranty Period"). Warranty claims must be addressed directly to SG Mobile within a maximum period of 10 days following the expiry of the Warranty Period. A Return Merchandise Authorization ("RMA") number in the form of a label must be obtained from SG Mobile prior to any return of Products and must appear on the packaging used for shipment, as a prerequisite for acceptance of the return. SG Mobile will inspect the returned Product within a reasonable time and, in the event of a defect covered by the Warranty, SG Mobile may, at its discretion: (i) repair the Product; (ii) replace the defective Product with a compliant Product; or (iii) refund customer the purchase price of the Product. Please note that no warranty will apply in the following cases (i) damage attributable to an accident, fall or other impact, contact with liquid, misuse, fire, as well as any other external cause or attributable to Client; (ii) damages attributable to the repair of the Product by any person not authorized by SG Mobile; (iii) if the Product has been modified following its receipt by the Customer; or (iv) if the Customer has continued to use the Product after notifying SG Mobile of the alleged defect. The transport costs will be borne by SG Mobile for any Warranty claim, insofar as the inspection of the Product reveals a defect covered by the latter.

Returns and refunds :

For all returns, an RMA (see "Warranty" section above) must have been obtained in advance. Credits, exchanges or refunds will be made, at SG Mobile’s discretion, to the same payment method used at the time of purchase. If SG Mobile should determine, following the inspection of the Product, that it is not suitable for resale, no refund will be made and the Product will be returned to the Customer.

Accuracy of information :

Despite our best efforts, occasional errors in prices, description, specifications or images relating to the “Products” may be contained on the Website. These errors may result from typographical errors, errors in the price information received from our suppliers or for any other reason. We therefore reserve the right to rectify prices if necessary as well as to cancel any order based on incorrect information. Also, although SG Mobile tries to reproduce as faithfully as possible the colors of the Products presented on the Website, it is important to note that the colors displayed may vary from one display device (such as a monitor) to another and that as such, SG Mobile cannot guarantee that the colors visible to a Customer correspond to the actual colors of the Product.

Limitation of Liability :

In general, SG Mobile strives to ensure accurate, complete, up-to-date and secure content of the Website. We take the necessary steps to ensure that any errors, inaccuracies or omissions are corrected as soon as they are detected and brought to our attention, as well as to take reasonable technical measures to protect the physical security and integrity of the functionalities of the Website. The Customer agrees to release SG Mobile and its affiliates, directors, officers and employees from any liability, both contractual and non-contractual, and damages, including loss of income, profits or expected profit, resulting from: i) the inaccuracy of the information and elements mentioned on the Website, including an error in the price or description of the Product; ii) a delay or delay related to the processing of an order or the impossibility of proceeding with it, and iii) the loss or alteration of data, including personal information, error message on the Website or unavailability of the Website.

Certain texts, photos, videos, drawings, images, data, graphics, trademarks, logos and slogans displayed on the Website may also be the property of third parties, which retain all their intellectual property rights in such content. More specifically, the Customer undertakes not to adopt or use trademarks or any other element of intellectual property that could create confusion with SG Mobile’s intellectual property or that would constitute an imitation thereof, nor to seek to invalidate, attack or otherwise call into question the legitimacy of the rights of SG Mobile or a third party on its intellectual property You are reminded that you are responsible for compliance with all laws protecting copyright and intellectual property and that any downloading and/or printing of content from the Website is only permitted for strictly personal and non-commercial purposes. You may not modify any page, reproduce, reuse or redistribute the content of the Website in any form other than as permitted by these Terms, without the prior written consent of SG Mobile or the third party owner of the rights in question.

We have no control over them, each of which has separate privacy and data collection practices independent of SG Mobile. We provide these links solely as a convenience to you and you access them at your own risk. You may also be subject to additional terms of use when you use or purchase, as applicable, certain products or services related to the Third Party Applications. SG Mobile has not reviewed these terms and conditions and cannot provide any recommendation or advice as to their content. We invite you to report any link that you consider to contain illegal or inappropriate material by contacting us in the manner set out herein.

Legal remedies :

We may at any time terminate a transaction relating to the purchase of Products or immediately suspend your access to our Website, in addition to all of our other remedies and additional legal consequences provided by law, if: (i) we have reason to believe that you are using the Website in violation of these Terms or any applicable law; (ii) any information provided by you during an order, during any communication with us or thereafter is inaccurate, fraudulent, outdated or incomplete; or (iii) we suspect or detect malware or potentially harmful activity related to your account.

Compensation :

You represent that you will indemnify and hold SG Mobile and its agents, affiliates, subsidiaries, directors, officers, employees, contractual partners, entities and related third parties harmless from and against any and all claims, demands, causes of action, damages, costs, expenses, penalties, losses and liabilities, including reasonable attorneys and fees, incurred by SG Mobile . as a result of any claim, whether brought by you or a third party, brought against SG Mobile in connection with (a) any breach of these Terms by you; (b) your use, misuse or inability to use the Website or product; (c) the inaccuracy of any of your statements; (d) any negligence or wilful misconduct; (f) any other matter for which you are expressly responsible hereunder.

Applicable law and dispute resolution :

These Terms, their interpretation, execution, application and validity are subject to the laws in force in the Province of Quebec, excluding conflict of law rules. In the event of any disagreement between you and SG Mobile when purchasing a Product, on the application of these Terms or for any other reason, we invite you first to contact us in the manner set out below. We will try as far as possible to reach an amicable settlement and find an appropriate solution to the situation, without prejudice to the right of each party to have recourse to the courts in the manner and at the time it deems appropriate. Any dispute between SG Mobile and you arising out of or in connection with these Terms, the purchase of a Product or the use of the Website shall be subject to the exclusive jurisdiction of the courts of the Province of Quebec, judicial district of Montreal.

Opinion :

All notices to be given to you by SG Mobile under these Terms may be given in writing by registered mail, courier or email to the contact details indicated in your account or that you provided when you contacted us or placed an order. You must send any notice to SG Mobile in writing by registered mail or recognized courier service to: (a) SG Mobile’s registered address set forth in the "Contact Us" section below; or (b) by email to sales@sgmobile.ca with a copy to legal@buysago.com. All notices sent by email will be deemed to have been received immediately after delivery if sent on a business day before 4 p.m., or otherwise the next business day . Notices sent by registered mail or courier service will be deemed received on the day of actual delivery.

Entire Agreement :

These Terms constitute our entire agreement and supersede any prior agreements between you and SG Mobile with respect to the subject matter hereof. These Terms shall prevail over any conditions of purchase issued by the Customer, contained in any document whatsoever, including by reference to a website or otherwise, regardless of the time of their transmission. The processing of an order of the Customer does not constitute acceptance of its general conditions and may not be interpreted as constituting a modification of these Conditions.

Divisibility :

Any statement by a court that any provision hereof is void or unenforceable shall not affect the validity or enforceability of the remaining provisions of these Terms, which shall remain fully enforceable.

Non-waiver :

Any failure by SG Mobile to enforce or enforce its rights and remedies under these Terms shall not constitute a definitive waiver by SG Mobile of its rights and remedies for the future.Accordingly, SG Mobile will not be prevented from subsequently exercising, in whole or in part, any right, remedy or privilege that it has not previously exercised.

Electronic version :

You acknowledge that these Terms have the same effect and value as if they had been personally signed by you. A printed version of these Terms or any notice sent by e-mail will be admissible in the event of a dispute, as well as any other document or business register generally kept in paper form.
